Who we are
These terms are between you and Infinity Domain Solutions Ltd (trading as IDS), a company registered in England and Wales under company number 11322252, with its registered office at 37 Lombard Street, 6th Floor, London, EC3V 9BQ, United Kingdom.
What we sell
We sell monthly subscription plans (Foundation, Growth, Scale), monthly add-on retainers, and a one-off Site Health Check. Prices are in pounds sterling (GBP) and shown on the Plans page. New website builds are not sold from this site; they are provided by our sister studio, Doman Digital.
How an engagement starts
The Site Health Check begins once you have paid for it.
For a Category B client (new site built by IDS): you pay the Site Launch Fee on sign-up, which covers the build and deployment. The first monthly billing period begins on the date your site is confirmed live and accessible at your domain. The Launch Fee is a separate, one-off charge and is not part of the monthly subscription.
For a Category A client (migrating from Doman Digital): the first monthly billing period begins on the date your site is live on IDS infrastructure. No Launch Fee applies.
Payment
Monthly plans and retainers are billed in advance for the upcoming month. Invoices are payable on receipt unless otherwise agreed in writing. Late payment may suspend delivery of work, but we will give reasonable notice before stopping.
The Site Launch Fee is non-refundable once the build has commenced. IDS is not currently VAT-registered, so no VAT is charged. If IDS becomes VAT-registered, VAT will be added to invoices issued thereafter.
Changes and cancellation
Your plan has no minimum term. You can cancel at any time. When you cancel, your plan simply stops renewing — no further payments are taken after the current month. You keep access for the month you have already paid for, which is not refunded. There is no exit fee. You can move up or down a tier at the start of any month. We may decline to continue an engagement if circumstances change (for example, sustained abuse).
What is included in a month
Each plan’s “what’s included” list is the definitive scope. Work outside that list (for example, a full redesign) is out of scope and will be quoted separately, normally by referral to Doman Digital.
Confidentiality
Both parties agree to keep non-public information shared during the engagement confidential and to use it only for the purpose of the engagement. A mutual NDA is available on request.
Intellectual property
Content you supply remains yours at all times.
For a Category B client, the website build is provided as part of the subscription and is not transferred to you on payment of the Site Launch Fee or the monthly fee. After the earn-out period of continuous paid subscription — 36 months on Foundation, 24 months on Growth, 18 months on Scale — you may request a one-time handover of the frontend code of your site. That handover is of the frontend code only. It does not include our templates, frameworks, tools, or any backend, automation, integration, hosting, or managed service, which remain ours. After the handover you may continue on the Hosting-only plan or self-host; the choice is yours.
For a Category A client, ownership of a site originally built by Doman Digital is governed by the agreement under which it was built.
Liability
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our total liability to you in any 12-month period shall not exceed the total fees paid by you under this agreement in that period. We are not liable for indirect or consequential losses.
Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
